Governance

To ensure its efficient management the Trust’s governance structure is made up of three committees: the Trustee Council, the Investment Committee, and the Audit Committee.

Composed of development and solidarity finance stakeholders, representatives from different regions of Québec and members of the Chantier Trust staff, these committees meet regularly throughout the year.

Trustee Council

The main mandates of the Trustee Council are

  • to ensure management of the Trust’s operations and investments in social economy enterprises;
  • to administer the real estate and the operations patient capital products that have been offered to social economy enterprises;
  • to ensure capital supply by issuing trust units and developing secondary markets;
  • to contribute their expertise to develop and validate the Chantier Trust’s strategic orientations.

Investment Committee

All financing applications are processed by a financial analyst from the Réseau d’investissement social du Québec (RISQ). They work in close collaboration with local development actors. Once the file has been analyzed, it is presented to the Chantier Trust’s Investment Committee. This committee meets every 15 days.

The main mandate of the Investment Committee are:

  • Analyze investment proposals transmitted to it by the Réseau d’investissement social du Québec (RISQ-social investment network of Québec);
  • Recommend investments to the Trustee Council;
  • Advise the Trustee Council on the state of the investment portfolio;
  • Make recommendations to the Trustee Council concerning changes to the Trust’s investments in social economy enterprises.

Audit Committee

The Audit Committee ensures that financial information, risk management and control processes comply with current laws and regulations and are in accordance with our activities. It also recommends the adoption of the draft financial statement.
